Grant
Subject to the terms and conditions of this Parking Licence Agreement, the Licensor, to the extent it has legal authority to do so but not otherwise, hereby grants to the Licensee a license to use the Stalls for a term (the “Term”) commencing on the date set out (the “Commencement Date”) in a written notice (the “Commencement Notice”) to be provided by the Licensee to the Licensor, provided that the Commencement Date must occur after the Anticipated Possession Date and on a date that is no earlier than 30 days after the date that the Commencement Notice is provided by the Licensee to the Licensor. The Stalls may be used for the 24 Hour exclusive use of the Licensee. The Licensor shall ensure that the Licensee has reasonable access to the Stalls at all times throughout the Term and any extensions thereof. The Licensee acknowledges and agrees that this Parking Licence Agreement does not create and shall not be deemed to create any interest in the Parking Facilities.
General
A calendar month is from the first day of the month to the last day of the same month.
Termination
The Licensee is entitled to terminate this Parking License in part or in its entirety on one calendar month’s advance written notice to the Licensor. After this time, any equipment deposits will be forfeited. Notice given at any time during a month will be effective as of the last day of the following month.
Rates
The parking rent per stall will be anywhere from $50-$700 per month plus applicable taxes due by the 1st of each month during the first year of the Term. The Licensor may increase the parking rent per Stall once each year during the Term
Payments
The monthly rental charges for use of the Stalls are due in advance on or before the first business day of each month and payable to the Parking Corporation of Vancouver dba EasyPark, which manages and operates the Parking Facilities for the Owner. If Licensee fails to make a payment on or before the due date and fails to remedy the default within 5 business days after written notice of the default is received by the Licensee, the Licensee’s right to use the Stalls will be suspended until payment is received by the Licensor. Outstanding invoices beyond 30 days may result in the account being sent to an external collection agency. No credit will be given for hourly/daily rates paid while parking privileges are suspended.
Assumption of Liability and Indemnity
Parking charges are for the use of parking space only. Neither the Owner, Licensor nor any of its affiliates, including the Parking Corporation of Vancouver dba EasyPark (“EasyPark”), is responsible or liable for any injury, death, property damage, theft, or disappearance occurring in, on, or about the parking facility to the customer or anyone claiming under or through the customer。
Assignment
The Licensee shall not assign or transfer this Parking License without the prior written consent of the Licensor. An administration fee of $25.00 will be charged for each subsequent transfer of this Parking License.
The Licensor agrees that if it no longer has a contract with the Owner for Management services of the Parking Facilities and/or this Parking Licence Agreement, prior to the effective date of such transfer, assignment, or other disposition, it will cause the transferee or assignee to assume the Licensor’s obligations hereunder in an agreement that the Licensee can enforce against the transferee or assignee.
Breach of Agreement
If the Licensee fails to remedy a breach of the terms of this Parking Licence Agreement within 10 days’ receipt of written notice of the breach from the Licensor, such breach may result in any or all of the following actions: suspension of parking privileges; termination of the Parking Licence Agreement; ticket, and/or towing of vehicle at the Licensee’s expense. If the Licensee incorrectly parks in a reserved stall that is not part of the Stalls, the vehicle parking in the incorrect stall will be towed out of the space at the Licensee’s expense.
Other Conditions
The Licensee’s use of the Stalls shall be subject to all reasonable terms and conditions displayed on signs in the Parking Facilities.
Governing Law
This Parking Licence Agreement will be governed by the laws of the Province of British Columbia.
Counterparts and Electronic Execution
This Parking Licence Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but which together shall constitute one and the same instrument and delivery of same may occur via the exchange of PDF copies by electronic transmission. The several counterparts and electronic transmissions when combined shall constitute a firm and binding agreement between the parties. This Parking Licence Agreement may be executed by the Licensor or the Licensee by electronic signature, and such electronic signature shall constitute an original signature made on behalf of such party(ies).
